Welcome to PEHNAWA. These Terms of Service ("Terms") govern your access to and use of the PEHNAWA website, mobile applications, and services (collectively, the "Services"), operated by PEHNAWA Fashions Private Limited ("PEHNAWA", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and PEHNAWA. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Services following any changes constitutes acceptance of the revised Terms.

You must be at least 16 years of age to use our Services. By using our Services, you represent and warrant that: • You are at least 16 years old. • You have the legal capacity to enter into a binding contract. • All information you provide to us is true, accurate, current, and complete. • You will update your account information promptly if any changes occur. **Product Descriptions:** We strive to provide accurate descriptions, images, and specifications for all products. However, we do not warrant that product descriptions or other content on our Services are accurate, complete, reliable, current, or error-free. Colors may appear differently depending on your device screen settings. **Pricing:** All prices are listed in Indian Rupees (INR) for domestic orders and in the displayed currency for international orders. Prices are subject to change without notice. The price charged will be the price in effect at the time of order placement. **Availability:** All products are subject to availability. We reserve the right to discontinue any product at any time. If a product becomes unavailable after you place an order, we will notify you and provide a full refund or the option to select an alternative product. **Errors:** In the event of a pricing error, typographical error, or product information error, we reserve the right to cancel any orders placed for products listed at the incorrect price, whether or not the order has been confirmed and payment charged.

**Order Placement:** By placing an order, you make an offer to purchase the selected products subject to these Terms. We reserve the right to accept or decline any order for any reason. **Order Confirmation:** Upon placing an order, you will receive an order confirmation email. This email does not constitute acceptance of your order; it merely confirms that we have received your order request. **Payment Methods:** We accept credit cards, debit cards, UPI, net banking, PayPal, and Cash on Delivery (COD) as specified at checkout. Payment must be received in full before we process your order (except COD orders, which are paid at delivery). **Payment Security:** All payment transactions are processed through PCI-DSS compliant payment gateways. We do not store your full card details on our servers. **Fraud Prevention:** We reserve the right to cancel orders that appear fraudulent, suspicious, or violate our policies. We may request additional verification before processing high-value orders.

**Shipping:** We ship to addresses within India and to select international destinations as specified on our Shipping & Delivery page. Delivery timeframes are estimates and not guaranteed. **Risk of Loss:** Risk of loss and title for items purchased pass to you upon delivery of the items to the carrier. You are responsible for filing any claims with carriers for damaged or lost shipments. **Delivery Issues:** If a package is returned to us due to an incorrect address, failed delivery attempts, or refusal by the recipient, we will contact you to arrange re-shipment at your expense or issue a refund minus shipping charges. **Force Majeure:** We are not liable for delays caused by events beyond our reasonable control, including natural disasters, strikes, government actions, pandemics, or carrier disruptions.

Our Returns & Exchanges Policy, available at /returns, is incorporated into these Terms by reference. Key conditions include: • Returns and exchanges must be initiated within 7 days of delivery. • Items must be unused, unworn, and in original condition with all tags attached. • Custom, made-to-measure, intimate wear, and final sale items are non-returnable. • Refunds are processed within 7-10 business days of receiving the returned item. By making a purchase, you agree to abide by our Returns & Exchanges Policy. We reserve the right to refuse returns that do not meet our policy criteria.

All content on our Services, including text, graphics, logos, images, product photographs, videos, audio clips, software, and code, is the property of PEHNAWA or its licensors and is protected by Indian and international copyright, trademark, and other intellectual property laws. **Permitted Use:** You may access and use our Services for personal, non-commercial shopping purposes only. **Prohibited Use:** You may not: • Copy, reproduce, distribute, or publicly display any content without our prior written consent. • Use our trademarks, logos, or trade dress without authorization. • Create derivative works from our content. • Use data mining, robots, or similar data gathering tools on our Services. • Attempt to reverse engineer any software or technology used on our Services. Unauthorized use may result in legal action.

Our Services may allow you to submit reviews, ratings, photos, comments, or other content ("User Content"). By submitting User Content, you grant PEHNAWA a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media. You represent and warrant that: • You own or have the necessary rights to submit the User Content. • The User Content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights. • The User Content is not defamatory, obscene, abusive, or otherwise objectionable. We reserve the right to remove any User Content at our sole discretion and without notice.

You agree not to engage in any of the following prohibited activities: • Using our Services for any illegal purpose or in violation of any laws. • Interfering with or disrupting the integrity or performance of our Services. • Attempting to gain unauthorized access to our systems or user accounts. • Transmitting viruses, malware, or other harmful code. • Engaging in fraudulent transactions, including using stolen payment methods. • Reselling PEHNAWA products without prior written authorization. • Using automated means to access or interact with our Services. • Harvesting or collecting personal information of other users. • Impersonating any person or entity. Violation of these prohibitions may result in immediate termination of your account and referral to law enforcement authorities.

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. We do not warrant that: • Our Services will be uninterrupted, timely, secure, or error-free. • The results obtained from using our Services will be accurate or reliable. • Any errors in the Services will be corrected. Product colors and appearances may vary from images shown on our website due to lighting, screen calibration, and fabric dye lot variations. Such variations do not constitute defects.

TO THE FULLEST EXTENT PERMITTED BY LAW, PEHNAWA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF OUR SERVICES. Our total liability to you for all claims arising out of or relating to these Terms or your use of our Services shall not exceed the total amount you paid to PEHNAWA in the 12 months preceding the event giving rise to liability. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless PEHNAWA and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: • Your violation of these Terms. • Your use of our Services. • Your User Content. • Your violation of any third-party rights. • Your negligent or willful misconduct.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English by a sole arbitrator appointed by mutual agreement. Notwithstanding the foregoing, PEHNAWA may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination: • Your right to use our Services will immediately cease. • All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification, and limitation of liability. • You remain liable for all outstanding payments and obligations incurred prior to termination.

**Severability:** If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. **Waiver:** Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. **Assignment:** You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without restriction. **Entire Agreement:** These Terms, together with our Privacy Policy and other published policies, constitute the entire agreement between you and PEHNAWA regarding your use of our Services. **Notices:** All notices to us should be sent to legal@pehnawa.com.
